Payment Terms
Payment due date
All invoices must be paid within 14 days of the date of issue, unless otherwise agreed in writing prior to the commencement of work. Payment shall be considered overdue if not received by the due date.Late payment and interest
In the event of late payment, I reserve the right to charge interest on the overdue sum at the rate of 5% per month (or part thereof), calculated from the due date until the payment is received in full. Interest will compound monthly. Alternatively, where appropriate, statutory interest may be charged under the Late Payment of Commercial Debts (Interest) Act 1998 at a rate of 8% above the Bank of England base rate.Late payment fees and recovery costs
In addition to interest, a late payment fee of £50 may be charged for each overdue invoice to cover administrative costs related to chasing late payments. Further compensation may be claimed for reasonable costs incurred in recovering the outstanding debt, including legal fees, in accordance with the Late Payment of Commercial Debts Regulations 2013.Disputed invoices
Any dispute over an invoice must be raised in writing within 7 days of the invoice date. Failure to notify me of a dispute within this period will result in the full amount of the invoice being payable by the due date.Suspension of services
I reserve the right to suspend ongoing work or withhold further services, including delivery of completed work, if there are any outstanding overdue payments. Work will only recommence once all outstanding invoices, including late fees and interest, have been settled in full.Payment methods
Payments can be made via [list payment methods: bank transfer, credit card, PayPal, etc.]. Please ensure that all payments reference the invoice number to avoid delays in processing.Governing law
These payment terms and all transactions are governed by the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
Scope of Work
Defined scope
The specific tasks, deliverables, timelines, and responsibilities for each project will be clearly outlined in the Project Proposal provided to you (the client). This proposal will form part of the agreement between the parties. Any work or services outside of the defined scope will be treated as additional and may incur extra charges, which will be agreed upon in writing.Client responsibilities
You are responsible for providing all necessary information, materials, and approvals required for the completion of the project within the agreed timeline. Failure to provide timely and adequate resources may result in delays or additional charges.Changes to scope
Any changes or additions to the original scope of work must be formally requested by you and agreed upon by both parties in writing before any additional work begins. Such changes may affect the project timeline, cost, or deliverables. You acknowledge that such changes may delay project completion or increase costs.Additional work requests
Requests for additional work outside the agreed scope, including revisions or enhancements beyond the original deliverables, will be subject to separate charges. These charges will be discussed and approved in writing prior to the commencement of any additional work.Limitations of scope
The agreed scope of work does not include ongoing maintenance, future updates, or support services unless explicitly stated in the project proposal. Any such services may be subject to separate terms and fees.Completion and sign-off
Once all deliverables outlined in the project proposal have been completed and provided to the client, the project will be considered complete. The client is responsible for reviewing and approving the work within seven days of delivery. If no objections are raised within this period, the work will be deemed accepted and any further revisions or work will be treated as additional services, subject to extra charges.Project delays and extensions
If you request a delay or suspension of the project for any reason, I reserve the right to adjust the agreed timeline and/or budget to accommodate the delay. Any additional costs incurred as a result of the delay will be communicated and agreed upon in writing.Termination and Cancellation
If the project is terminated by either party before completion, you will be responsible for all work completed up to the date of termination, including any non-refundable expenses incurred by me. If a termination occurs after a significant portion of the project has been completed, I reserve the right to charge for the full amount of the agreed scope, less any work that was not delivered.
Intellectual Property and Ownership of Source Files
Intellectual Property Rights
All intellectual property rights, including copyright, for the work created by me will remain with me until full payment is received. Upon full payment, you will own the rights to the final deliverables for the agreed purpose.Source Files
Unless otherwise agreed in writing, all source files (e.g., design files, code, etc.) will remain my property. Source files can be provided at an additional cost if requested.Pre-existing Materials
Any pre-existing or third-party materials used in the work will remain the property of their original owners. You will receive a license to use these materials as part of the final deliverables.
Limitation of Liability
I shall not be liable for any damages, loss of profits, or other claims arising out of or in connection with the performance of the services provided.
